2.股东必须拥有有效身份证或中国护照；
3.没有注册资本要求，只有发行股数限制；标准为1500股，高于此数需另付印花税。
二． 办理程序

1. 签订委托书，并支付定金

2. 预留公司名称，提交公司章程，并签署公司协议

3. 申请美国雇主身份识别号码

4. 注册美国销售税号码

5. 申请公司相关保险

6. 签署法定文件
